1. Acceptance of Terms and Eligibility

These Terms of Use form a legally binding agreement between you and ViralClick Media Inc. (“ViralClick”, “we”, “us”, or “our”) governing your access to and use of our website, which provides consumer technology news, smartphone reviews, app coverage, software update summaries, gadget insights, and safe technology usage tips. By accessing or using the site, you confirm that you are at least 16 years old and have the legal capacity to enter into these terms. If you are under 18, you represent that a parent or legal guardian has reviewed and agrees to these terms on your behalf. If you do not agree, you must stop using the website.

2. Service Description

ViralClick is an informational publication. We produce neutral reporting, analysis, and educational resources related to consumer technology, including but not limited to smartphones, productivity apps, software updates, digital lifestyle practices, and consumer gadgets. Our content is editorial in nature and not a substitute for professional, legal, security, or financial advice. We may update, modify, or remove content at any time to reflect new information, corrections, or editorial priorities. We do not sell hardware or software directly through the site, and where we reference retailers or app marketplaces, those references are provided for context only.

3. User Obligations

You agree to use the website lawfully and responsibly. You will not: (a) attempt to scrape, crawl, or harvest content or data, whether via automated tools or manual processes, except through standard browser access; (b) reverse engineer, decompile, or otherwise attempt to access source code or non-public systems; (c) upload or transmit viruses, malware, or any harmful code; (d) interfere with the security or availability of the site; (e) impersonate another person or misrepresent your affiliation; (f) infringe third-party intellectual property or privacy rights; (g) use the site to send spam, advertisements, or solicitations; or (h) circumvent access controls or rate limits. If we introduce user accounts or newsletters in the future, you agree to maintain one account per person, keep credentials confidential, and promptly notify us of suspected unauthorized access.

4. Intellectual Property

All content on the website, including text, graphics, logos, icons, images, page layouts, and code, is owned by or licensed to ViralClick and is protected by applicable copyright, trademark, and other intellectual property laws. “ViralClick” and associated graphics are distinctive identifiers of ViralClick Media Inc. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the site for personal, non-commercial purposes, subject to these terms. You may not copy, reproduce, republish, mirror, modify, translate, create derivative works from, distribute, or publicly display any material from the site without our prior written permission, except as permitted by fair dealing or other applicable law. Any unauthorized use terminates the license granted herein.

5. Prohibited Activities

In addition to the obligations above, the following activities are prohibited: using the site to engage in fraudulent conduct; uploading illegal, defamatory, or obscene material; collecting information about other users without consent; bypassing or attempting to bypass security features; reselling or leasing access to the site; interfering with servers or networks; probing or scanning for vulnerabilities; and using the site for any purpose that violates Canadian law or the rights of others. We reserve the right to investigate and take appropriate action, which may include reporting suspected unlawful conduct to authorities and cooperating with investigations.

6. Disclaimer of Warranties

The website and all content are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. Without limiting the foregoing, we disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no representation that the content is complete, accurate, up to date, free of errors, or suitable for your specific needs. Access may be interrupted, delayed, or error-prone due to maintenance, network issues, or third-party failures. You are responsible for verifying critical information, backing up your data, and following official documentation when changing device settings or installing software.

7. Limitation of Liability

To the maximum extent permitted by law, ViralClick Media Inc., its directors, officers, employees, contractors, and contributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the website or reliance on the content, even if advised of the possibility of such damages. Our total aggregate liability for any direct damages shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD 100), whichever is lower. Some jurisdictions do not allow limitations on implied warranties or the exclusion of certain damages; if those laws apply to you, some of the above limitations may not apply, but only to the extent required by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless ViralClick Media Inc. and its affiliates, officers, directors, employees, agents, and content contributors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your use of the website; (b) your violation of these terms; (c) your infringement of any intellectual property or other rights of any person or entity; or (d) any content you submit, upload, or otherwise make available through the site, if such functionality is provided.

9. Third-Party Links

The site may include references to third-party websites, apps, or services. These are provided for informational purposes. We do not control and are not responsible for the content, policies, or practices of third parties. Accessing any third-party resource is at your own risk and subject to the applicable terms and privacy policies of those providers. The inclusion of a link or reference does not imply endorsement or affiliation. Where an article includes an affiliate link, we disclose that fact within the article in clear language.

10. Privacy

Your use of the website is also governed by our Privacy Policy and Cookie Policy, which describe the categories of data we collect, how it is used, and your choices regarding analytics and advertising. By using the site, you acknowledge that you have read and understand these policies. You can access them at any time via the footer links or by visiting the Privacy Policy at /privacy/ and the Cookie Policy at /cookie-policy/.

11. Governing Law and Jurisdiction

These terms and any related dispute are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to the exclusive jurisdiction and venue of the provincial or federal courts located in Toronto, Ontario, for the resolution of any action or proceeding arising out of or relating to these terms or the website, subject to the informal dispute resolution process described below.

12. Dispute Resolution

Before filing any claim, you agree to first contact us and attempt to resolve the issue informally. Send a written notice describing your claim and requested resolution via the Contact page. We will review and respond within thirty (30) days. If the dispute is not resolved within that period, either party may pursue remedies in the courts identified in the Governing Law and Jurisdiction section. Nothing in this section prevents either party from seeking injunctive or equitable relief to protect intellectual property or confidential information.

13. Termination

We may suspend or terminate your access to the website, with or without notice, if we reasonably believe you have violated these terms, engaged in fraudulent or unlawful activity, or created risk or possible legal exposure for us. Upon termination, your right to use the site ceases immediately. The following sections survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and any other terms which by their nature should survive.

14. Modifications to the Terms

We may modify these Terms of Use to reflect operational, legal, or regulatory changes. Updated terms will be posted on this page with a new “Last Updated” date and will take effect fourteen (14) days after posting unless a shorter period is required by law. Continued use of the website after changes take effect constitutes acceptance of the revised terms. If you do not agree to the updated terms, you should discontinue using the site before they become effective.

If any provision of these terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
